Quantum Computing to buy Luminar Semiconductor for $110m

Quantum Computing (QCi) has agreed to acquire Luminar Semiconductor (LSI), a fully owned subsidiary of Luminar Technologies, in an all-cash deal valued at $110m.
The acquisition would bring QCi a portfolio of photonic technologies, patents, and a team of engineers and scientists from Luminar Semiconductor.

Luminar Semiconductor produces and sells photonic components that are described as important to QCi’s technology roadmap.
Through the deal, Quantum Computing aims to advance its quantum systems for commercial deployment, while supporting Luminar Semiconductor’s existing customer base.
Meanwhile, Luminar Technologies has filed voluntary Chapter 11 cases in the US Bankruptcy Court for the Southern District of Texas.

Luminar Semiconductor is not a debtor in these cases and continues to operate in the ordinary course.
As Luminar Semiconductor is a subsidiary of Luminar Technologies, the deal would need approval from the bankruptcy court through a Section 363 sale process.
QCi has agreed to be the proposed stalking horse bidder for this process and will be entitled to customary bid protections.
The parties expect to close the transaction after satisfying customary closing conditions, including receiving bankruptcy court approval, which they anticipate by the end of January 2026.
